This agreement is between Simur Teknoloji A.Ş. ("Simur Teknoloji" or "KAF"), Ahmet Yesevi, Kerem Sk. No:9, 34903 Pendik/Istanbul, and the company that opens an Agency Directory profile on KAF AI and buys the Agency Directory module (the "Agency"). The Agency accepts this agreement when buying the module. The KAF User Agreement and the Privacy Notice are an integral part of this agreement; this agreement prevails on matters concerning the Agency Directory.
The Agency Directory is a listing service where businesses find agencies and request offers from them. Simur Teknoloji is not a party to the service relationship between a business and the Agency and does not intervene in disputes arising from it; the scope, fee, payment, timing and delivery of the work are solely between the Agency and the business. Simur Teknoloji does not recommend agencies and does not guarantee the Agency any work or requests.
A profile can only be opened with a tax identification number (a national ID number for sole proprietorships); freelancers are not accepted. One tax number can hold one profile. A profile appears in the directory after KAF's review; KAF may reject a misleading or incomplete profile.
The Agency undertakes that every item on its profile (services, cities, team, portfolio work, client brands, awards, starting price) is accurate and up to date, and that it has its clients' permission for portfolio work and client brands. "Results on KAF" is the total of the sites the Agency manages on KAF and carries no client names.
The Agency Directory module is sold for 6- or 12-month terms, paid upfront with AI Credits at the start of the term; there is no monthly plan. Unless the Agency cancels, it renews for the same term. The price of a paid term does not change during that term; KAF may change prices for later terms. Simur Teknoloji takes no commission on work agreed between the Agency and a business. If Simur Teknoloji decides to charge a commission, it will clearly notify the Agency of the rate and method by e-mail before it takes effect; it will not apply to work agreed before the notice. Fees paid are non-refundable; unused rights, early exit, suspension or termination do not create any refund or credit.
KAF determines the order of the directory and may change it manually within the platform rules; the order is not a quality score, award or recommendation, and KAF does not promise any particular position or views. Agencies with a highlight label are shown first. Labels (Sponsored, Recommended, Best) are sold and paid separately per service category; the category is chosen at purchase and does not change during the paid term. Each label has a limited number of places in each category. A labelled card is shown with an "Ad" mark. The KAF Partner badge comes with a KAF plan and is not sold.
A business's request goes to the agencies matching its criteria or, if the business chose one directly, only to that agency. Offers are sealed; the Agency only sees how many other offers there are. The business's name, e-mail and phone are revealed only when the business says "I want to talk" or accepts the offer. KAF may charge for revealing contact details; the fee is deducted from the Agency's AI Credits and is non-refundable.
The Agency uses personal data received from a business only for that request; it does not add it to lists, share it with third parties or send bulk or unsolicited messages. The Agency is a separate data controller for this data under Turkish Personal Data Protection Law No. 6698; Simur Teknoloji is not liable for the Agency's misuse of it.
The Agency may not contact the owner of a request it reached through KAF by any channel outside KAF before the contact details are revealed on KAF, and may not run the offer process in a way that bypasses KAF. In case of breach, KAF may suspend the profile indefinitely or terminate this agreement.
A review can only be written for agreed work, once in each direction, and cannot be changed later. The Agency may not offer benefits in exchange for reviews or create fake requests or reviews. Reviews written by businesses about the Agency remain on the Agency's profile even if the author's account is deleted; the author's name is not shown. KAF may remove reviews and profile content that are insulting, threatening or unlawful, and may use reviews in the directory and in promotion.
For the term of this agreement the Agency grants Simur Teknoloji the right to show its name, logo, cover image and profile content in the directory, in the agency lists on simur.org and in KAF's promotional channels. The rights to the content remain with the Agency; the Agency is liable for content that infringes third-party rights.
KAF may suspend the profile or terminate this agreement for misleading information, untrue results, fake reviews, misuse of contact details, bypassing KAF, or as the outcome of a complaint review. A suspended profile is removed from the directory and receives no requests. Suspension and termination do not create any refund. The Agency may delete its profile and account at any time.
The Agency is solely liable for the service it provides to businesses and third parties and for any damage arising from it; Simur Teknoloji is not liable for this service. If, nevertheless, a claim is brought against Simur Teknoloji or Simur Teknoloji has to make a payment because of the Agency's service or acts, Simur Teknoloji will recover the amount paid and the legal costs from the Agency, and the Agency pays this amount on first written demand.
There is no partnership, employment, representation or agency relationship between Simur Teknoloji and the Agency; the Agency may not act or make commitments on behalf of Simur Teknoloji. Taxes and other legal obligations arising from the Agency's work with businesses belong to the Agency.
KAF may change this agreement; material changes are announced to the Agency by e-mail or in-platform notification. The price of a paid term is not affected by changes.
Simur Teknoloji's commercial books, server and system records are conclusive evidence under Article 193 of the Turkish Code of Civil Procedure No. 6100. The laws of the Republic of Türkiye apply; the Istanbul (Anatolian) Courts and Enforcement Offices have jurisdiction.
